OSP:An organization that provides goods and services within normal business operations.  Vendors provide similar goods and services to many different purchasers; operate in a competitive environment; and provide goods or services that are ancillary to the operation of the sponsored program.  

Under the federal Uniform Guidance, the word “contractor” is used in favor of “vendor.”  For the purposes of the Uniform Guidance, when a non-federal entity provides funds from a federal award to a non-federal entity, the non-federal entity receiving these funds may be either a subrecipient or a contractor. 

FAU A dealer, distributor, merchant, or other seller providing goods or services that are required for the conduct of a Federal program. These goods or services may be for an organization's own use or for the use of beneficiaries of the Federal program.

BSU: Vendors are individuals (or their organizations) who provide services that they normally provide to other customers in the marketplace. While the services may be important to the project, or may even represent a large dollar amount, the providers of the services are not fully participating in the project as partners and decision makers. The services may be provided for any length of time during the project period. Services may be provided for a short period or periodically throughout the project. If the provider of services is an individual, it is important to apply the “20 factors test” provided by the IRS to determine if the person is an independent contractor or if the person is actually acting as an employee of the University.

A consultant/vendor is one who provides goods or services for a fee, but not as an employee of the hiring entity. Consultants are experts outside the university who provide their professional services for a fee. They are more appropriately treated as vendors. OMB Uniform Guidance identifies vendors as: 

  • Providing goods and services within their normal business operations; 
  • Providing similar goods or services to many different purchasers; 
  • Operating in a competitive environment; 
  • Providing goods or services that are ancillary to the operation of the Federal program; and 
  • Not subject to the compliance requirements of the Federal program.
