This term is often used rather loosely in legal agreements and in general refers to unpatented technical information (including, without limitation, information relating to inventions, discoveries, concepts, methodologies, models, research, development and testing procedures, the results of experiments, tests and trials, manufacturing processes, techniques and specifications, quality control data, analyses, reports and submissions) that is not in the public domain. In terms of legal agreements it is important that this term only relates to information that can be recorded in physical form. The term should not encompass intangible information and thoughts.
